This Affiliate Referral Program Agreement ("Agreement") governs your optional participation in the Daily Ads affiliate referral program (the "Program"). By actively opting into and using your referral link, you agree to be bound by this Agreement in addition to the Terms and Conditions.

1. Program Overview

1.1 What the Program Is

The Daily Ads affiliate referral program is a performance-based marketing program. Active members who choose to participate receive a unique personal referral link. When someone signs up through that link and subsequently purchases a paid subscription, the referring affiliate earns a one-time or recurring commission on that confirmed sale.

1.2 What the Program Is Not

The affiliate referral program is not:

• An investment vehicle — no return on investment is promised or implied
• A source of passive income by virtue of membership alone — earnings require active referral activity
• A revenue-sharing pool — commissions paid to you are funded by Daily Ads as a marketing expense, not redistributed from other members' subscription fees
• A franchise or business opportunity — participation does not constitute a business relationship beyond an affiliate marketing arrangement

2. Eligibility

To participate in the affiliate referral program you must:

• Hold an active Daily Ads account in good standing
• Be at least 18 years of age
• Have a valid payment method on file for receiving commissions (Wise or Zelle)
• Comply with all terms of this Agreement and the Daily Ads Terms and Conditions
• Not be located in a jurisdiction where performance-based affiliate marketing is prohibited by law

3. How Commissions Are Earned

3.1 Referral Link

Upon joining the program, you are assigned a unique personal referral link. You may share this link through your own marketing channels (website, social media, email to your own contacts, etc.) in compliance with Section 6 (Prohibited Activities).

3.2 Commission Trigger

A commission is earned when:

• A new user registers via your referral link, and
• That user purchases a qualifying paid subscription within the attribution window, and
• The payment is successfully processed and not reversed, charged back, or refunded

No commission is earned for free registrations, trial accounts, or if the referred user does not complete a paid purchase.

3.3 Commission Structure

Commission rates and structures are defined in your affiliate dashboard. Rates may differ by subscription tier and are subject to change with 30 days' notice to active affiliates. Current rates are always visible in your dashboard.

4. Commission Payments

4.1 Payment Methods

Commissions are paid via Wise or Zelle, depending on your location and preference. You must provide valid payment details before any commission can be disbursed.

4.2 Minimum Payout Threshold

Commissions are only disbursed once your balance reaches the minimum payout threshold disclosed in your affiliate dashboard. Balances below this threshold will roll over to the next payment period.

4.3 Holding Period

All commissions are subject to a 14-day holding period from the date the referred payment is received. Commissions become available for withdrawal only after this period has elapsed. This holding period exists to account for potential refunds, chargebacks, or payment disputes.

4.4 Payment Schedule

Commissions are paid upon request, once your balance meets the minimum payout threshold and the 14-day holding period has elapsed. Daily Ads reserves the right to hold payments pending verification in cases where fraud or abuse is suspected.

4.5 Accounting Classification

Commissions paid to affiliates are recorded by Daily Ads as marketing expenses. They are not a redistribution of subscription fees collected from other members. Subscription revenue collected by Daily Ads is recorded as SaaS revenue.

5. No Income Guarantee

Any earnings or income figures mentioned in marketing materials, on the platform, or by other members represent individual results and are not typical. Actual results depend on your marketing skills, the quality of traffic you generate, market conditions, and other factors outside Daily Ads' control.

Participation in the affiliate program involves effort and marketing activity on your part. The program is not a "set and forget" or passive income vehicle.

6. Prohibited Activities

You may not:

• Self-refer: Create additional accounts to generate commissions for yourself
• Spam: Send unsolicited commercial messages, emails, or social media messages promoting your referral link to people who have not consented to receive them. You must comply with CASL, CAN-SPAM, GDPR, and all applicable anti-spam laws
• Misrepresent earnings: Claim or imply guaranteed income, specific earnings figures, or passive returns to potential referrals
• Bid on branded keywords: Run paid advertising using "Daily Ads," "Daily-Ads.com," or similar trademarked terms without express written permission
• Misrepresent the platform: Make false or exaggerated claims about Daily Ads' features, results, or capabilities
• Cookie stuffing or forced clicks: Use deceptive techniques to artificially generate referral tracking
• Advertise prohibited content: Use your referral link in the context of illegal, adult, gambling, or hate speech content

7. Disclosure Requirements

When promoting your referral link publicly, you must clearly disclose your affiliate relationship with Daily Ads in accordance with applicable advertising disclosure laws (FTC guidelines, ASA rules, etc.). A simple statement such as "I may earn a commission if you sign up through this link" is sufficient. Failure to disclose your affiliate relationship may result in removal from the program.

8. Tax Obligations

You are solely responsible for reporting and paying all taxes on commissions you receive. Commissions are not employment income — you participate as an independent affiliate, not as an employee or contractor of Daily Ads. Daily Ads does not withhold income tax, CPP, EI, or any other deductions from commission payments. You may receive a tax reporting document from Daily Ads if required by law, but you are responsible for your own tax compliance. Consult a qualified tax advisor regarding your obligations.

9. Program Changes and Termination

9.1 Changes to Commission Rates

Daily Ads reserves the right to modify commission rates, payment structures, or eligibility requirements with 30 days' advance notice to active affiliates. Continued use of your referral link after the notice period constitutes acceptance of the new terms.

9.2 Termination by You

You may stop participating in the affiliate program at any time by discontinuing the use of your referral link. Earned commissions that meet the minimum payout threshold at the time of termination will be paid on the next regular payment cycle.

9.3 Termination by Daily Ads

Daily Ads may remove you from the affiliate program immediately and without notice if you violate this Agreement, the Terms and Conditions, or applicable law. In cases of fraud or abuse, any unpaid commissions may be forfeited.

9.4 Program Discontinuation

Daily Ads reserves the right to discontinue the affiliate referral program entirely with 30 days' notice. Any commissions earned and payable at the time of discontinuation will be paid on the final payment cycle.

10. Intellectual Property

You may use Daily Ads' name and publicly available promotional materials to promote your referral link. You may not modify our logo, trademarks, or branded assets, or use them in ways that imply endorsement of your personal brand or business. All intellectual property rights in the platform remain the property of Daily Ads / Sébastien Bonneau.

11. Governing Law

This Agreement is governed by the laws of Canada and the province in which the operator resides. Any disputes arising under this Agreement shall be resolved in accordance with Canadian law.
